General Terms & Conditions

GENERAL TERMS & CONDITIONS LEAPIUS

  1. Leapius is the sole proprietorship of mr. P.A. Drop, registered with the Chamber of Commerce in Rotterdam under no. 71613463
  2. These general terms & conditions apply to all assignments given to Leapius by a client of Leapius (the client).
  3. All assignments are considered to be given to Leapius only and not to a particular person connected to Leapius. Assignments are performed by or on behalf of Leapius. Articles 7:404 and artikel 7:407 section 2 of the Dutch Civil Code do not apply.
  4. A person connected to Leapius is: any employee, advisor or person performing services for or engaged by Leapius.
  5. Any liability of Leapius is limited to the amount paid in a relevant matter under the professional liability insurance policy of Leapius, increased with the applicable deductible.
  6. Any claim for damages is time-barred after one year commencing on the day that the client has become aware of any damages and the liability of Leapius for these damages.
  7. In case Leapius makes use of the services of a person not connected to Leapius while performing an assignment, any failure of such person resulting in damages for the client is not attributable to Leapius, unless the client proves that Leapius did not exercise reasonable care when choosing such a person.
  8. The client indemnifies Leapius for all claims of third parties connected with or resulting from the services provided to the client, unless in the event of wilful intent or gross negligence on the part of Leapius.
  9. Leapius and any person, legal entity or its legal successor(s) connected to Leapius in any form, also when such connection is terminated, can rely on these general terms and conditions.
  10. Due to governing regulations, Leapius is obliged to ascertain the identity of the client and to inform the appropriate authority or agency of any unusual transaction as defined in such regulations.
  11. The client hereby expressly gives permission to Leapius to process such personal data as provided by the client to Leapius, albeit solely in connection with the assignment.
  12. The client will ensure that all information provided by the client and by its advisors and the information required to perform the assignment will be proactively provided to Leapius. The client is responsible to ensure that all such information, whether legal, fiscal, financial or otherwise in nature is complete, accurate and not misleading. Leapius has no duty to verify such information.
  13. Invoices of Leapius are due and payable within 14 days as from the date of the invoice without the right of set-off or suspension. In case of late payment the client is in default as from 14 days after the date of the invoice and interest is due at 1% per month. If sums due are unpaid more than 30 days, out of court debt collection charges are due of 15% over the sum due. In case of court proceedings, all related costs will additionally be payable and reimbursed by the defaulting client. Notification of objections to invoices must be made to Leapius in writing within 7 days of the date the invoice, after which the right to object has expired. In case of more than one client or beneficiary in an assignment of Leapius, all clients and beneficiaries are jointly and severally liable for sums payable to Leapius related to such assignment, irrespective to whose name the invoice is addressed. Each below referenced entity is jointly and severally liable for payment of the invoices of Leapius.
  14. Dutch law applies to the legal relationship between Leapius and its clients. All disputes between Leapius and a client shall be settled, in the first instance, by the competent court in Rotterdam, the Netherlands.
  15. These general terms & conditions are in Dutch and English. In case of a dispute regarding the text or the scope the Dutch version will prevail.
